UK Listing Rules checklists are required for certain FCA submissions. Check whether one applies before preparing your circular or listing application.
We use these checklists to make sure:
- Securities meet the eligibility criteria to be added to the Official List.
- Certain circulars comply with relevant disclosure obligations.
When to use UK Listing Rules checklists
Use these checklists to confirm compliance with relevant disclosure requirements when submitting documents for FCA approval.
You should use our checklists if you’re an issuer (or advising or sponsoring an issuer) that wants to:
- Apply for securities to be added to the Official List.
- Transfer securities between listing categories.
- Prepare a circular that needs FCA approval under the UK Listing Rules (UKLR).
This includes issuers who are already listed applying to admit a new class or line of securities.
In some cases, sponsors and advisers need to sign the final checklist on behalf of the issuer.
| Situation | Checklist required? |
|---|---|
| Initial public offering (IPO)/new applicant to Official List | Yes |
| Transfer between listing categories | Yes |
| Listing a new class of equity securities | Yes |
| Submitting a circular for FCA approval | Yes |
| Routine continuing obligations with no FCA-approved document and no new admission. | Usually no |

Circulars
A circular is a document that a listed company sends to its shareholders in connection with certain transactions or corporate actions.
Under the UK Listing Rules, some circulars must be approved by us before they are sent to shareholders. This includes circulars about:
- reverse takeovers
- proposals to cancel a listing
- proposals to transfer a listing
- related party transactions by closed-ended investment funds
Download and complete these checklists when preparing a circular for approval by the FCA under the UK Listing Rules.
